LMMAC Constitution
The official name of the club is Lake Macquarie Miniature Aircraft Club Incorporated
The aim of the Club is to provide facilities where members may share a mutual interest in flying of Radio control Aircraft. (Fixed wing.)
The club will promote and encourage the building of model Aircraft in the City of Lake Macquarie.
The club shall consist of active financial members and affiliate members.
The management of the club shall rest in a Committee. The committee of the club shall consist of:

All executive positions are honorary, which shall be known as the executive.
Executives of the club shall be elected at the annual general meeting. Each member of the executive shall hold office for a period of 12 months. It is allowable for one person to hold more than one position, but not more than two (2) on the executive.
In the event of a casual vacancy occurring in the membership of the executive, the committee may appoint another member of the Club to fill the vacancy and hold office until the next elections at the following annual general meeting.
Powers of the executive:
- Control and manage the day-to-day affairs of the club. Exercise all such function as may be exercised by the club other than those functions that are required by a special general meeting of ordinary members of the club.
- The executive may co-opt club members into a committee as and when it is considered appropriate to deal with unusual circumstances that may arise.
Duty of secretary:
- Attend to the clerical work of the club.
- To keep minutes of: – All appointments of executive members at general meetings. Keep all proceedings at executive and general meetings.
- Obtain direction of the executive before disposing of any club property. Place before the executive all applications for new membership or affiliated membership at the next meeting.
Duty of the Treasurer:
- The financial interests of the club are served as required by the executive. All money due to the club is collected and that all members authorised by the executive are made and correct books and accounts are kept showing the financial affairs of the club including full details of all recepts and expenditures connected with the club activities. Club moneys to be deposited into the LMMAC banking account and to be operated by any two of the three signatories and will consist of club President, Secretary, and Treasurer. The club’s books should be closed and balanced on 30th June each year. Should the treasurer resign then the club books should be audited.
The executive shall meet at least once per quarter on an appropriate evening. The president secretary or treasurer may convene additional meetings of the executive.
Two members of the executive constitute a quorum for transaction of the business of the meeting and must be any two of the president, secretary, or treasurer, or in the president’s absence, the vice president.
All financial members shall have the power to vote at all general, extra ordinary and AGM meetings.
Application for membership or affiliation of the club shall be submitted in writing and must be approved by the executive at the next meeting.
A member wishing to resign from the executive or club shall give writer notice to the secretary
Discipline of members:
Where the executive is of the opinion that any member of the club has in persistently refused or neglect to comply with a ‘provision of the Flying Rules and By-Laws of LMMAC’ or has persistently and wilfully acted in a manner prejudicial to the interest of the club the executive may by resolution expel the member from the club or suspend the member from membership of the club for a specified period.
Disciplinary Process for Breaches of Safety in relation to LMMAC Flying Rules and By-Laws, shall be in the form of ‘Formal Verbal Warning’ to any person who has in the observers mind created or caused a breach of safety or lapse of duty of care in relation to any other person or property attending or in close proximity to the Club’s Flying Field.
The issue of a formal verbal warning is to be notified to the LMMAC Secretary and recorded for the purpose of future reference.
Warnings in relation to the above may be issued by a member of the clubs ‘Executive Committee’ or any nominated ‘Safety Officer’ of the Club.
On issue of a second ‘Formal Verbal Warning’ for a similar safety breach within a six month period, the LMMAC Committee shall raise for discussion at an extraordinary meeting of the Club Executive, whether there is a requirement to proceed to formal disciplinary action as described in the following paragraph.
At the general meeting of the club following the executive discission of the disciplinary action, the executive and the member shall be giver the opportunity to state their respective cases orally or in writing or both and the members present, that are eligible to vote by secret ballot on the question wether the disciplinary action should be confirmed or revoked.
Fees:
Fees shall be set at the AGM by proposal of a motion. Fee structure shall contain the following components:
- MASNSW Affiliation
- MAAA to contain three insurance policies: -
- Public liability
- Personal accident
- Directors insurance
- Cost of field maintenance (including Mower.)
- Club fees
Any member more than three months in arrears with subscriptions shall be considered to have left the club. Any member in arrears will not be permitted to fly on LMMAC airfield
Affiliate member:
Members shall be a financial member of another club with full MAAA Insurance. MAAA card must be viewed and particulars noted.
Affiliated members are not entitled to vote at club meetings unless as a delegate of an active member.
The executive shall set affiliate fees.
Affiliate members are bound by the same club rules and by-laws as active members.
The club rules shall be altered only at an annual general meeting or an extraordinary meeting. Proposal of alteration shall be in writing to the secretary 28 days before the annual or extraordinary meeting.
Were the club to be inactive for a period of six months all debts shall be paid and any remaining monies and assets shall be handed over to MASNSW for safekeeping. If the club fails to become re-constituted within three years, then all monies and all assets will become the property of MASNSW. No office of profit shall exist within the club
